Terms and conditions
These terms govern the engagement of Singularity Edge LLC's services. They are written so you know what you are committing to and what we are committing to, with no small print tucked away.
1. Who we are and who this is for
Services are provided by Singularity Edge LLC, a company organised in the State of New Mexico, United States, entity ID 0008123535. Full details are in the legal notice.
We work mainly with companies, freelancers and professionals. If you engage us as a consumer, you keep in full the rights granted by the consumer rules of your country of residence, and nothing you sign here can take them away.
2. Which services these terms cover
Custom web development and design, online stores, SEO and GEO, digital advertising, process automation with n8n and AI agents, ERP implementation, API integrations, and maintenance and support.
The specific scope of each engagement is not here but in the proposal we send and you accept. If anything in the proposal contradicts these terms, the proposal prevails.
3. How an engagement is agreed
The process is always the same. We talk about what you need, we send a written proposal with scope, price, milestones and timings, and the engagement is agreed when you accept it expressly, whether by signing it or confirming by email.
Filling in a form on the website agrees nothing and binds us to nothing. It is the start of a conversation.
Proposals are valid for the period they state and, absent a statement, for thirty calendar days from being sent.
4. Prices and payment
Prices shown on the website are preceded by the word from. They are the starting point for a project with the simplest scope of each service, not a fixed rate. The price of your project is the one in your proposal and only that.
Amounts are stated exclusive of taxes unless said otherwise. Those applicable given your country and tax status are added on the invoice.
Payment is structured in milestones, set out in the proposal. The usual pattern is an initial payment to start and the remainder spread against specific deliveries. Each milestone is invoiced when reached.
Invoices fall due fifteen calendar days from issue, unless the proposal says otherwise. If an invoice goes unpaid we may suspend work after notifying you, and resume once it is settled.
Bank charges and currency conversion costs are borne by the paying party.
5. What we need from you
A project moves at the pace of its slowest part, and that part is often the information that is missing. We need from you the copy, images, access, credentials and decisions identified in the proposal, within the agreed timings.
If the material does not arrive, timings shift by the same amount with no penalty to us. Where a project is stalled on your side for more than sixty days, we may invoice the work done to that point and close the engagement.
You warrant that you hold the rights to use and pass to us everything you give us, including copy, images, logos and databases. If a third party makes a claim over that material, the claim is yours.
6. Who owns what we deliver
Once the full price is paid, the deliverables specific to your project become yours. That includes the design, the custom-written code, the content we write for you and the configuration of your systems.
Excluded from that transfer are our internal tools, our reusable libraries and components, and our methodology. Over those you receive an indefinite, non-exclusive licence to use them for the project, which is what you need to use it without limit, but not ownership.
Third-party software, templates, typefaces and subscription services are governed by their own licences and are contracted in your name. We cannot transfer to you what is not ours.
Unless you tell us otherwise in writing, we may mention that we have worked with you and show your logo as a reference. We publish no figures, internal data or project details without your express permission.
7. What results we can promise and what we cannot
Nobody can guarantee a specific position on Google, a volume of visits, a number of leads or a given advertising return. Anyone guaranteeing that is selling something they do not control, because search algorithms and ad platforms belong to others and change without notice.
What we do commit to is carrying out the work described in the proposal, with professional judgement, following each platform's official guidelines and without techniques that could earn you a penalty. And showing you what we measure, however it turns out.
In digital advertising, media spend is paid by you directly to the platform and is separate from our management fees. We do not resell ad space.
8. Confidentiality
Everything we learn about your business during the work is confidential and is shared with nobody, neither during the project nor after it ends. We ask the same of you regarding what you learn of our methods.
Excluded is information already public, information one party legitimately knew beforehand, and information that must be disclosed by legal obligation.
Where we process personal data on your behalf, we will additionally sign the data processing agreement required by the applicable rules.
9. Warranty on delivered work
For thirty calendar days following each delivery we fix, at no cost, any defect preventing what was delivered from working as the proposal describes. Tell us what is broken and we repair it.
That warranty does not cover scope changes, new features, breakage caused by changes made by you or by third parties, or failures caused by external services such as hosting or other providers' APIs.
After that period, fixes and improvements are quoted separately or covered by a maintenance contract.
10. How far our liability goes
Our liability for an engagement is limited to the amount you have paid us for that engagement in the twelve months preceding the event giving rise to it.
We are not liable for lost profits, for data loss attributable to third parties, for outages of services we do not manage, or for indirect damages.
These limits do not apply in cases of wilful misconduct or gross negligence, nor where mandatory applicable law prevents limiting liability.
11. If the project stops
You may leave a project at any time by giving written notice. Work carried out to that point is invoiced and paid, including milestones reached and the proportional part of the milestone in progress.
We may terminate the engagement in cases of persistent non-payment, if you ask us for something unlawful or contrary to a platform's guidelines, or if a lack of cooperation makes continuing unworkable.
What is refunded and what is not is explained in the refund policy, which forms part of these terms.
12. Data protection
How we handle your personal data is in the privacy policy, and which cookies the site uses is in the cookie policy.
13. Changes to these terms
We may update these terms. The version applying to your engagement is the one in force on the day you accepted the proposal, and the date always appears above. A later change does not alter what has already been contracted.
14. Governing law and dispute resolution
These terms are governed by the law of the State of New Mexico, United States. Before going to court we commit to trying to resolve any disagreement by talking, for at least thirty days.
If you engage us as a consumer resident in the European Union, Colombia or Mexico, this clause does not deprive you of the protection of your country's mandatory rules or of your right to claim before the courts of your own domicile.
